Intellectual Property

Deliverables

Upon full payment, you will own the custom software developed specifically for your project, as specified in the project agreement.

Our Tools

We retain ownership of pre-existing tools, libraries, and methodologies that may be used in developing your solution.

Confidentiality

We treat all project information as confidential. We will not disclose your proprietary information to third parties without your consent, except as required by law.

Limitation of Liability

To the maximum extent permitted by law:

• Our liability is limited to the fees paid for the specific services giving rise to the claim
• We are not liable for indirect, incidental, or consequential damages

Warranty

We warrant that our services will be performed in a professional and workmanlike manner. Any defects reported within the warranty period specified in your project agreement will be corrected at no additional charge.

Termination

Either party may terminate a project engagement as specified in the project agreement. Upon termination:

• You will pay for all work completed to date
• We will deliver all completed work product

Governing Law

These Terms are governed by the laws of Victoria, Australia. Any disputes will be resolved in the courts of Victoria.
